Mandate
As an economic and marketplace regulator, the OEB protects the interests of millions of natural gas and electricity consumers by regulating entities that generate, transmit and distribute energy across the province. The OEB has a mandate to inform consumers, protect their interests and ensure an economically efficient and financially viable energy industry. By doing so, the OEB supports the delivery of reliable and affordable energy for Ontario and provides value to the public. This requires us to be responsive to the changing needs of consumers, the entities we regulate and Ontario’s energy sector. Our overarching goal is to support a sustainable, reliable and high-quality energy sector that provides natural gas and electricity services at a reasonable cost.

The Opportunity
It’s an exciting time at the OEB as a Board-governed agency managing an energy transition and continuing its regulatory transformation. The Corporate Secretary and Board Advisor (CS) reports to the General Counsel for administrative purposes but is accountable for supporting the Board of Directors (Board), including the Board Chair, in the discharge of their duties and for ensuring excellence and efficiency in OEB corporate governance. The CS provides, or arranges, policy, analytic and legal support to the Board Chair, Committee Chairs and other Directors when they supervise management on annual business plan and letter of direction execution and operational oversight, or liaise with management, the Ministry or government on key strategic, reputational or contentious issues, including matters which may affect the Minister in the discharge of their duties. The CS assists Directors in assessing the quality, consistency and usefulness of information provided by management, in retaining and supervising external advisers and acts in confidence to ensure that the Board and Directors can effectively manage, or to supervise the management of, the OEB’s business and affairs.
The CS leads the Office of the Corporate Secretary (the CS Office), currently composed of the Assistant Corporate Secretary and the CS Office Administrator. The CS Office plays a critical role in overseeing and implementing effective corporate governance practices, including the logistics, documentation and organization of Board and Committee meetings and meetings between the Chair and/or other Directors with management and other stakeholders. Working with subject matter experts across the OEB, the CS Office oversees the development of Board-level corporate policies, which are to be implemented by management.
The CS works closely with Directors and OEB executives and managers to ensure effective governance of the OEB and that such governance contributes to the OEB effectively fulfilling its statutory mandate, legislative responsibilities and obligations to the public and the Government of Ontario, including those under the OEB’s Memorandum of Understanding. The CS leads the CS Office in discharging its accountability for the coordination, facilitation and appropriate recording of the activities of the Board and its Committees in accordance with legal requirements, good corporate governance practices and expectations for an Ontario board-governed regulatory agency.
The Candidate
- 5+ years’ progressively more responsible experience in a professional work environment engaged in public policy, corporate governance and providing senior level support to Directors or senior management, ideally including governance support to a Board of Directors in an entity where expert governance is practiced
- Strong organizational skills with attention to detail and demonstrated ability to provide high level of accuracy; ability to multi-task in a fast-paced environment
- High level of professionalism and ability to act with tact and diplomacy when dealing with sensitive and confidential information
- An excellent and resourceful problem solver
- Superior verbal/written communications, organizational and interpersonal skills.
- Talent management, including recruitment, training and development, and performance management
- Government sector experience; familiarity with government policy (ideally in the energy sector) and the workings of government agencies, Ontario government directives and public sector governance
- Energy sector knowledge, or an interest in, and ability to acquire, such knowledge.
- Proficient knowledge of Microsoft Office (Word, Excel, PowerPoint), Teams and SharePoint. Experience in Diligent Board Books
- Bachelor’s degree in business administration, law, public administration, or a related field, with preference given to those with graduate school or law degree.
- A relevant specialist certification such as member of the Law Society Ontario, Chartered Secretary (CS) and/or similar certifications in corporate governance and law.
