2025-2026 OBA Board/Regional Lead Elections

Send your nomination
Send your nomination via email to vdallas@oba.org no later than April 15, 2025:
- In writing
- signed by at least three Members or accompanied by forwarded emails from at least three members indicating that they have nominated you, or any combination of those two.
- Remember where the nomination is for a Regional Director position, the signatures and/or emails must be those of three Members who reside in, practice in, or work in, the relevent region and have their CBA address in that region;
- By convention, the OBA 2nd Vice-President alternates between Toronto and Outside Toronto. In accordance with this convention, this year we will elect a 2nd Vice-President from Outside Toronto;
- include the nominee’s written consent, which consent can be evidenced by an email from the nominee to vdallas@oba.org expressing their consent to the nomination;

Nomination Form Instructions
- The candidate will fill out the names and email addresses of their 3 nominators.
- The candidate will then complete and sign the on-line form
- The 3 nominators will then get an email from DocuSign (In their inbox the email will show as from: Valerie Dallas via DocuSign. You should advise your nominators to check their spam folders if they have not received the email when anticipated. If they are looking to ensure it is a legitimate email the sending email address is dse@docusign.net)
- Please ask your nominators to advise you when they have completed the form, so that you can follow up with any nominators who have not. The Executive Office lead will advise two days prior to the close of nominations if your form does not have the requisite three signatures, so that you can follow-up as necessary.

Eligibility
- Any member who:
- has served at least one year on Council or two years on a Section Executive or a Board or Standing Committee
- is nominated for only one board position and,
- if they are running for regional lead, lives, practices or works in the relevant region and has their CBA mailing address in that region.

Nomination Procedures for Elected Board Positions
- the Nominating Sub-Committee shall cause notice to be given to all Association Members advising that they may nominate candidates for the following Elected Board Positions:
- (a) 2nd Vice-President;
- (b) Secretary;
- (c) Chair of Professional Development; and
- (d) Chair of Sections
- starting in October 2025, the Nominating Sub-Committee shall cause notice to be given to all Association Members advising that they may nominate candidates for the Elected Board Position of Treasurer.
- The notices referred to in sections 69 and 70 will include:
- The nomination form that must be used, as determined by the Nominating Sub-Committee (the “Prescribed Form”);
- The date by which the nomination must be submitted; and
- The method for submitting a nomination, as determined by the Nominating Sub-Committee (the “Prescribed Manner”).
- A nomination will only be valid if:
- The nomination in the Prescribed Form is received by the OBA before November 15th, in the Prescribed Manner;
- The proposed nominee is nominated, in accordance with the Prescribed Form, by three Association Members; and
- The proposed nominee is an Association Member who:
- has served one year on Council or two years on a Committee or Section Executive at the time of their nomination;
- is nominated for only one position on the Board; and
- is not serving a second consecutive term in the position for which they seek to be nominated at the time of the nomination is submitted.
(“Qualifying Board Nominee”).
- the Nominating Sub-Committee shall:
- Approve nominations submitted in accordance with section 72;
- Determine whether there are nominations that should be approved despite non-compliance with the Prescribed Form or Prescribed Manner. For greater certainty, nominations cannot be approved by the Nominating Sub-Committee if the proposed nominee is not a Qualifying Board Nominee;
- If there are no nominees to fill any Elected Board Position, nominate a Qualifying Board Nominee to fill that position. These nominations will be subject to the consent of the proposed nominees.
- the Chair of the Nominating Sub-Committee shall provide to the Board a list of nominees determined in accordance with section 73. Those nominees shall be candidates for the Elected Board Position for which they were nominated.
- No one is eligible to be a candidate for, or elected to, an Elected Board Position unless they were nominated for that position in accordance with the provisions of sections 69, 70, 71, 72 and 73 applicable to that position.
- If there is only one candidate for any Elected Board Position, that candidate shall be acclaimed in the position. If there is more than one candidate for any Elected Board Position, an election shall be held to determine that Elected Board Position.
- the Executive Director shall provide to all approved nominees:
- A list of the candidates who have been acclaimed;
- A list of the positions for which there will be an election and the names of the candidates for each such position; and
- If there is an election, a copy of this By-Law and the Rules with respect to Board Elections.
- The Nominating Sub-Committee Chair, or their designate, shall report the list of nominated candidates to the annual meeting of Members of the Corporation.

Board Elections
- All Members of the Corporation, as of the date determined by the Board in accordance with the Act, are eligible to vote in an election for Elected Board Positions and each Member of the Corporation shall have one vote for each position.
- Voting for the Elected Board Positions shall be by electronic ballot and not by show of hands.
- The Executive Director shall ensure that the electronic ballot for the Elected Board Positions, or links to access the electronic ballots, are sent to Members of the Corporation during the Annual Meeting, following the conclusion of the speeches by the candidates for the Elected Board Positions. Voting shall commence as soon as access to the ballots is provided, and Members of the Corporation will have seven days to complete their ballots.
- For each Elected Board Position for which there is an election, the candidate with the highest number of votes shall be elected.
